II. Completion of Strucra's Work for the Project

  1. Scope of Work:
    1. The Contractor has substantially completed Strucra’s contracted scope of work for the project as described in the referenced Bid and any approved Change Orders.
    2. For purposes of this document, "Substantial Completion" means Strucra’s contracted scope of work for the project is sufficiently complete for its intended purpose, subject only to any minor punch list items if applicable.
    3. This Project Completion Sign-Off confirms substantial completion of Strucra’s contracted scope of work for the project. Unless expressly stated otherwise in writing, it does not constitute acknowledgment that unrelated work by others or the overall project beyond Strucra’s contracted scope is complete.
  2. Review / Inspection Opportunity:
    1. The Client or a designated representative has had the opportunity to inspect, review, or otherwise verify Strucra’s completed scope of work for the project.
    2. By signing below, the Client confirms that Strucra’s work for the project has been reviewed by the Client or a designated representative for closeout and payment purposes.
    3. The individual signing this document on behalf of the Client represents and warrants that they are duly authorized to bind the Client to this Project Completion Sign-Off.
  3. Punch List:
    1. Any punch list items must relate specifically to Strucra’s contracted scope of work for the project.
    2. As agreed in the Project Approval Contract, punch list items must be identified during the walkthrough or within three (3) business days of the Contractor’s notice of substantial completion, whichever occurs first.
    3. The Contractor will address documented punch list items relating to Strucra’s scope within a reasonable timeframe, typically fourteen (14) days, subject to scheduling, material availability, site access, and sequencing conditions.
    4. Minor punch list items do not constitute grounds for withholding final payment.
    5. Items reported after the punch list deadline may be addressed under warranty terms or as additional billable work at the Contractor’s discretion.
  4. Deemed Acceptance:
    1. As agreed in the Project Approval Contract, if this Project Completion Sign-Off is not signed and no written objection detailing specific deficiencies in Strucra’s contracted scope of work for the project is provided within three (3) business days of the final walkthrough, or within three (3) business days of completion of documented Punch List Items if applicable, Strucra’s contracted scope of work for the project shall be deemed accepted and final payment shall be due.

III. Final Payment & Closeout

  1. Payment Authorization:
    1. By signing this document, the Client authorizes release of final payment for Strucra’s completed scope of work for the project as specified in the referenced Bid and any approved Change Orders.
    2. Any remaining balance for Strucra’s scope of work for the project is due upon signing this Project Completion Sign-Off, unless otherwise stated in writing by Strucra.
    3. If applicable, any approved credits or adjustments will be reflected on the final invoice.
  2. Final Invoice:
    1. The Contractor will provide a final invoice reflecting the contract amount, approved Change Orders, payments received, credits if applicable, and the remaining balance due for Strucra’s scope of work for the project.
    2. Final payment for Strucra’s completed scope of work for the project is not contingent upon completion of the overall project, payment to the Client by any owner, lender, insurer, or other third party, or completion of work by others, unless expressly agreed in writing by Strucra.
    3. Any remaining balance must be remitted within seven (7) days to avoid late charges as outlined in the Project Approval Contract.

IV. Post-Completion Responsibility & Warranty

  1. Post-Completion Protection of Work:
    1. Upon substantial completion of Strucra’s contracted scope of work for the project, protection of the completed work from damage, dirt, impact, staining, traffic, material storage, or alteration by the Client, occupants, other trades, delivery personnel, or ongoing construction activity becomes the responsibility of the Client unless otherwise expressly included in writing.
    2. The Contractor is not responsible for damage, deterioration, contamination, modification, or other conditions affecting the completed work after substantial completion that are caused by use, lack of protection, work by others, or ongoing project conditions outside the Contractor’s control.
  2. Warranty Commencement:
    1. The Contractor’s workmanship warranty begins on the date of the walkthrough or completion of punch list items, whichever is later, unless otherwise stated in the referenced Bid or Project Approval Contract.
    2. The Contractor may document the condition of the completed work at closeout through photographs and/or video, which shall serve as the baseline condition for warranty review.
    3. This warranty applies only to defects in workmanship in work performed by the Contractor or its subcontractors, as further described in the Project Approval Contract.
  3. Warranty Exclusions:
    1. The warranty does not cover normal wear and tear, damage caused by the Client or third parties, improper maintenance, unsuitable site conditions, work by others, Client-provided materials, or conditions outside the Contractor’s scope.
    2. Damage or defects not present in the Contractor’s closeout documentation, or that arise after the Client or others have had access to the completed work, may be excluded from warranty coverage.
    3. Full warranty terms and exclusions are detailed in the Project Approval Contract.
  4. Warranty Claims:
    1. To make a warranty claim, the Client must contact the Contractor in writing at projects@strucra.com with a description of the issue.
    2. The Contractor will assess the claim and, if covered, repair or correct the issue in accordance with the warranty terms.

V. Lien Waiver

  1. Final Lien Waiver:
    1. Upon receipt and clearance of final payment, the Contractor will provide the Client with an Unconditional Waiver and Release on Final Payment, consistent with the Project Approval Contract.
    2. This waiver confirms release of lien rights for Strucra’s contracted scope of work for the project covered by the final payment.
  2. Subcontractor and Supplier Waivers:
    1. The Contractor has obtained or will obtain subcontractor and supplier lien waivers as appropriate.
    2. Copies are available upon request by contacting projects@strucra.com.
